1.1. Acceptance: Your use of the Service constitutes your unconditional acceptance of these Terms. If you do not agree, you must discontinue use immediately.

1.2. License: Mailozar grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for your internal business purposes, subject to these Terms.

2. Account and Security

3. Acceptable Use Policy (AUP)

As a professional and intelligent platform, we require strict adherence to this policy.

3.1. Prohibited Content: You must not upload or distribute any content that is illegal, hateful, defamatory, obscene, or violates any intellectual property rights.

3.2. Strict Anti-Spam Policy: You are strictly prohibited from using the Service to send Unsolicited Commercial Email (UCE or Spam). You must only send emails to individuals who have given verifiable, express, and documented consent (opt-in) to receive your communications. Accounts found in violation will be suspended or terminated immediately.

3.3. Technical Integrity: You must not interfere with or disrupt the integrity or performance of the Service, nor attempt to gain unauthorized access to our systems or network.

4. Fees, Payment, and Termination

4.1. Payment Terms: All fees are due in advance based on your chosen subscription cycle. You authorize us to charge your payment method automatically for all applicable renewal fees.

4.2. Termination by You: You may cancel your subscription at any time via your account settings. The cancellation will take effect at the end of your current paid billing period.

4.3. Termination by Mailozar: We may suspend or terminate your account immediately, without liability, if you breach the Terms, particularly the AUP (Section 3), or if we believe your activity poses a legal or reputational risk to the Service.

4.4. No Refunds: All fees paid are non-refundable, except where required by law.

5. Intellectual Property and Data Rights

5.1. Mailozar Property: All proprietary rights in the Service, including the software, the AI models, designs (including the Blue and Teal brand elements), and documentation, belong exclusively to Mailozar.

5.2. Your User Content: You retain all ownership of the customer lists, email content, and data you upload (“User Content”). You grant Mailozar a non-exclusive, royalty-free license to use your User Content solely to operate and provide the Service to you.

5.3. Service Improvement Data (Intelligent): You agree that Mailozar may use anonymized and aggregated technical data related to your use of the Service to analyze, monitor, and improve the underlying AI and functionality of the platform.

6. Indemnification and Liability

6.1. Indemnification: You agree to indemnify, defend, and hold harmless Mailozar from any and all claims, damages, liabilities, and expenses (including attorney’s fees) arising out of or related to your violation of the AUP (Section 3) or any third-party claim alleging that your User Content or email campaigns infringe their rights.

6.2. Limitation of Liability: The Service is provided on an “as-is” basis. Mailozar shall not be liable for any indirect, special, incidental, or consequential damages (including loss of profits or data) arising from your use of the Service, even if advised of the possibility of such damages.

7. General Provisions

7.1. Governing Law and Venue: These Terms shall be governed by the laws of the jurisdiction where Mailozar is headquartered, without regard to its conflict of law principles. All disputes shall be resolved in the courts of that jurisdiction.

7.2. Changes: We reserve the right to modify these Terms at any time. We will notify you of any material changes via email or a notification within the Service. Your continued use constitutes acceptance of the new Terms.
